Terms of Service

These Terms of Service ("Terms") govern your access to and use of our AI Visibility Engine, website, and related tools (collectively, the "Services"). By using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Definitions

"AI Visibility Boost" – a one‑time service that includes a full 9‑layer AI visibility audit and 3 critical signal boosts, for a one‑time fee of $249.00.
"Boost" (or "Action") – a specific fix we perform to improve your AI visibility. Each boost targets a specific gap — removing a fake review, adding schema markup, writing an AEO article, fixing inconsistent business data, and more.
"Subscription Plan" – a recurring monthly service that includes a set number of Boosts per month, AI visibility monitoring, and reporting. Available as AI Visibility, AI Authority, and AI Dominate.
"Pilot Period" – an optional one‑month trial of a Subscription Plan, available only for new clients who have not previously subscribed.
"Minimum Commitment" – the minimum number of months you agree to remain subscribed after the Pilot Period (or immediately, if you choose to skip the Pilot). The Minimum Commitment is three (3) months.
"AI Visibility Score" – our proprietary 0–100 score that measures how prominently your brand appears in AI recommendations across ChatGPT, Gemini, Claude, Perplexity, Grok, DeepSeek, and Google AI.
"Fair Use Policy" – each Subscription Plan includes a reasonable number of Boosts per month (as defined in the table below). If you exceed this number, additional fees apply.

2. Services Description

ReputationGuardPro provides the following AI visibility services:

AI Visibility Audit – comprehensive 9‑layer analysis of how AI platforms perceive your brand, including accessibility, content structure, authority signals, clarity, trust signals, schema packaging, citation readiness, activity, and reputation signals.
Signal Boosts & Cleanup – targeted actions to strengthen weak signals, remove fake reviews, correct missing schema markup, fix inconsistent business data, and build authority signals that AI trusts.
AI Visibility Monitoring – tracking how your brand appears across ChatGPT, Gemini, Perplexity, Claude, and other LLMs, with weekly or monthly reports (depending on your plan).
GEO Content Strategy – for higher-tier plans, we provide content strategy to optimize your brand for AI search, including audit and roadmap.
Competitor Benchmarking – analysis of how your AI visibility compares to up to 5 competitors, with actionable recommendations.

We do not guarantee specific AI rankings or positions. AI platforms make independent decisions based on complex algorithms. Our service is an attempt to strengthen your reputation signals so AI trusts and recommends your brand more consistently.

3. Client Responsibilities

Provide accurate and complete information about your business and website(s).
Grant [email protected] the necessary access to your Google Business Profile(s), website analytics, or other platforms as needed for service delivery. This is a mandatory condition for most services.
Promptly respond to any requests for additional information or clarification.
Not submit fraudulent or knowingly false information. We reserve the right to terminate the agreement immediately if we suspect abuse.
Inform us of any changes to your business name, website, or contact details.

Failure to fulfill these responsibilities may result in delays or cancellation of services, without refund.

4. Fees and Payment

4.1 AI Visibility Boost (One‑Time)

Fee: $249.00 (one‑time).
Includes: Full deep AI visibility audit (9 layers) + 3 critical boosts + detailed AI visibility score report with recommendations.
Billing: One‑time payment, due in full before we commence work.
Refund: If we are unable to complete the audit and boosts, we will issue a full refund within 5 business days.

Fair Use & Overage Fees:

Each plan includes a reasonable number of Boosts per month under our Fair Use Policy. If you exceed your plan's fair use limit, additional overage fees apply:

AI Visibility: $49 per extra boost
AI Authority: $39 per extra boost
AI Dominate: $29 per extra boost

We will notify you before any overage charges are applied.

4.3 Pilot Period (Optional)

New clients may subscribe to a one‑month Pilot Period for any Subscription Plan.
During the Pilot, you pay the regular monthly fee (as above) and receive full service.
The Pilot Period is non‑renewable and can be used only once per client.

4.4 Minimum Commitment

After the Pilot Period (or immediately if you skip the Pilot), your subscription enters a Minimum Commitment of three (3) consecutive months.
You are billed monthly during this period. The commitment starts on the date your first regular (non‑Pilot) month begins.
After the Minimum Commitment, the subscription automatically continues on a month‑to‑month basis unless cancelled as per Section 7.

4.5 Automatic Renewal and Billing

All Subscription Plans renew automatically each month on the same day of the month as the original sign‑up date.
We charge the card on file for each renewal. It is your responsibility to keep your payment information current.
If a payment fails, we will attempt to notify you and retry. After two consecutive failed attempts, we may suspend your service.

4.6 Price Changes

We reserve the right to adjust subscription fees. Any price increase will be communicated to you at least 30 days in advance. If you do not agree, you may cancel before the increase takes effect.

5. Refund Policy

AI Visibility Boost (One‑Time): Full refund if we cannot complete the audit and boosts.
Subscription Plans: Because of the nature of ongoing work, we do not offer refunds for partial months. If you cancel after the Minimum Commitment, your cancellation will take effect at the end of the current billing month, and no refund will be issued for the remaining days of that month.
Pilot Period: No refund during the Pilot, but you may cancel at the end of the Pilot without further obligation.

6. Cancellation and Termination

6.1 Client Cancellation

During Minimum Commitment: You may not cancel before the 3‑month commitment ends. If you request early cancellation, we will continue to bill you for the remaining committed months.
After Minimum Commitment: You may cancel at any time through your Stripe Customer Portal at https://billing.stripe.com/p/login/dRmeVcdyf1f14O58u2bo400. Your cancellation will take effect at the end of the current billing period. No email or manual request is required.

6.2 Termination by Us

We may terminate or suspend your access immediately if you breach these Terms (including non‑payment or failure to provide access), if we suspect fraudulent activity, or if we are legally required to do so.
Upon termination, you remain liable for all fees accrued up to the termination date, and for any outstanding Minimum Commitment payments.

6.3 Service Completion (One‑Time)

The one‑time agreement automatically terminates when we complete the audit and boosts and deliver your AI visibility report.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT YOUR AI VISIBILITY SCORE WILL INCREASE BY A SPECIFIC AMOUNT OR THAT AI PLATFORMS WILL RECOMMEND YOUR BRAND IN A PARTICULAR WAY.

8. Limitation of Liability

IN NO EVENT SHALL REPUTATIONGUARD BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF REVENUE, PROFITS, OR REPUTATION, ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless ReputationGuardPro and its officers, employees, and agents from any claims, damages, or expenses (including legal fees) arising from your breach of these Terms, your misuse of our Services, or your violation of any law or third‑party rights (including Google's terms of service).

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of laws provisions.

Any dispute arising from these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be held in Delaware, and judgment on the award may be entered in any court having jurisdiction.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated to you via email or a prominent notice on our website at least 15 days in advance. Your continued use of the Services after the effective date of the changes constitutes your acceptance of the revised Terms.

12. Entire Agreement

These Terms constitute the entire agreement between you and ReputationGuardPro regarding the Services and supersede all prior agreements, understandings, or representations.
